Terms of Service

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services.

2. Description of Services

RealtorOS provides a software platform that enables real estate professionals to manage leads, automate communications, and utilize artificial intelligence tools for engagement, scheduling, and content generation.

3. Account Registration

To use the Services, you must create an account and provide accurate and complete information.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account

4. Data Ownership and Processing Roles

• Users retain all rights, title, and interest in Lead data submitted to or collected through the Services
• RealtorOS acts as a data processor with respect to Lead data and processes such data solely on behalf of Users to provide the Services
• RealtorOS acts as a data controller with respect to account, billing, and platform usage data
• RealtorOS does not sell Lead data and does not share Lead data between Users
• RealtorOS may use aggregated and de-identified data for internal analytics, performance optimization, and service improvement

Your use of the Services is also governed by our Privacy Policy.

5. User Responsibilities and Legal Compliance

You agree to use the Services in compliance with all applicable laws and regulations. You are solely responsible for:

• Obtaining proper consent from Leads prior to any communication
• Complying with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
• Honoring opt-out requests and communication preferences

You acknowledge that RealtorOS does not obtain consent on your behalf and does not monitor or guarantee compliance with communication laws. You assume full legal responsibility for all communications initiated through the Services.

6. Communication and Automation Features

RealtorOS provides tools for automated messaging, follow-ups, and AI-assisted outreach. You acknowledge that:

• You control how and when communications are sent
• RealtorOS provides recommended safeguards but does not guarantee compliance
• You assume full responsibility for communication practices

6A. Acceptable Use

You agree not to use the Services to:

• Send unsolicited or unlawful communications
• Engage in spam, harassment, or abusive behavior
• Violate any applicable laws or regulations
• Upload or transmit malicious code or harmful content
• Misuse artificial intelligence features for deceptive or harmful purposes

RealtorOS reserves the right to suspend or terminate accounts that violate this section.

7. Artificial Intelligence Disclaimer

The Services utilize artificial intelligence to generate responses, summaries, and recommendations.

AI-generated outputs may be inaccurate, incomplete, or misleading. Such outputs are provided for informational purposes only and do not constitute professional, legal, financial, or real estate advice.

RealtorOS disclaims all liability arising from reliance on AI-generated outputs. Users are solely responsible for reviewing and verifying all outputs before use.

8. Third-Party Services

The Services may integrate with third-party providers, including:

• OpenAI AI processing
• Twilio communication services
• Google / Microsoft email and calendar integrations

RealtorOS does not control and is not responsible for the performance, availability, or policies of third-party services.

RealtorOS does not guarantee the availability, accuracy, or performance of third-party services and shall not be liable for disruptions caused by such providers.

9. Fees and Payments

If applicable, you agree to pay all fees associated with your subscription plan.

• Fees are billed on a recurring basis as specified
• Payments are non-refundable unless otherwise stated
• Failure to maintain valid payment may result in immediate suspension of Services without liability to RealtorOS

10. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You engage in unlawful or abusive behavior
• Required by law or regulatory authority

You may terminate your account at any time.

Upon termination:

• Data handling will follow our Privacy Policy
• Access to Services will be revoked

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

REALTOROS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REALTOROS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.

IN NO EVENT SHALL REALTOROS'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless RealtorOS, its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable laws (including TCPA and CAN-SPAM)
• Any communications sent through the Services
• Any data you provide or process through the platform

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.

14A. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in the Commonwealth of Pennsylvania.

You agree to waive any right to participate in class actions or class-wide arbitration.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

15A. Force Majeure

RealtorOS shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, outages, acts of government, or failures of third-party services.
